Governance Architecture

TauKen Group's governance structure is designed to ensure clear accountability, strategic coherence, and regulatory compliance across all subsidiaries and operational units. It comprises the following core components:

Board of Directors

The Board of Directors is the highest governing body within TauKen Group Ltd. It is responsible for setting strategic direction, approving major investments, overseeing risk management, and ensuring that the Group's activities align with shareholder interests and national development goals.

The Board includes both executive and independent non-executive directors, selected for their expertise in mining, finance, law, ESG, and public policy. Independent directors play a critical role in providing impartial oversight and challenging executive decisions where necessary.

Executive Management

Led by the Managing Partner, the executive team is responsible for day-to-day operations, project execution, and stakeholder engagement. Each subsidiary is managed by a designated director who reports directly to the executive team, ensuring operational alignment and performance accountability.

The executive team oversees budgeting, procurement, human resources, and compliance, supported by digital dashboards and integrated reporting systems. These tools enable real time decision making and enhance transparency across all operational tiers.

Audit & Risk Committee

This committee ensures financial integrity, internal control effectiveness, and risk mitigation across the Group. It liaises with external auditors, reviews financial statements, and monitors exposure to operational, legal, and reputational risks.

The committee also oversees whistleblower mechanisms, fraud prevention protocols, and internal audit cycles. Findings are reported directly to the Board and used to inform strategic adjustments.

ESG & Compliance Committee

Responsible for environmental, social, and governance oversight, this committee ensures that TauKen Group meets its sustainability commitments and ethical standards. It monitors emissions, biodiversity impact, community engagement, and ISO certification progress.

The committee reviews ESG disclosures, liaises with regulators and ensures that all subsidiaries operate within the framework of environmental legislation and international ESG benchmarks.
